Terms & Conditions

1. Acceptance of Terms

By accessing and using the services of ARIAS INFORMATION TECHNOLOGY LLC ("ARIAS IT," "we," "us," or "our"), you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

2. Services Provided

ARIAS IT provides information technology services including, but not limited to:

  • Cloud infrastructure and migration services
  • Cybersecurity and compliance solutions
  • Network design, implementation, and support
  • Data analytics and business intelligence
  • Managed IT services
  • Custom software development and integration

3. Service Agreements

Specific services will be governed by individual service agreements or statements of work. In the event of any conflict between these Terms and Conditions and a specific service agreement, the service agreement shall prevail.

4. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information necessary for service delivery
  • Maintain the security of login credentials and access information
  • Comply with all applicable laws and regulations
  • Make timely payments according to agreed terms
  • Provide reasonable access to systems and personnel as needed

5. Payment Terms

Payment terms will be specified in individual service agreements. Unless otherwise stated:

  • Invoices are due within 30 days of the invoice date
  • Late payments may incur interest charges of 1.5% per month
  • Services may be suspended for accounts more than 60 days overdue
  • All fees are non-refundable unless otherwise specified

6. Intellectual Property

Unless otherwise agreed in writing:

  • ARIAS IT retains all rights to pre-existing intellectual property and tools
  • Custom work products created specifically for a client become the client's property upon full payment
  • Clients grant ARIAS IT the right to use project details as case studies (with confidential information removed)

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the business relationship. This obligation survives the termination of services.

8. Data Security and Privacy

ARIAS IT implements industry-standard security measures to protect client data. Our data handling practices are detailed in our Privacy Policy.

9. Service Level Agreements

For managed services, specific service level agreements (SLAs) will be documented separately, including:

  • Response time commitments
  • Uptime guarantees
  • Support availability
  • Escalation procedures

10. Limitation of Liability

To the maximum extent permitted by law:

  • ARIAS IT's liability is limited to the fees paid for the specific service giving rise to the claim
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • We are not liable for losses resulting from client's failure to follow recommendations
  • Force majeure events are excluded from liability

11. Warranties and Disclaimers

ARIAS IT warrants that services will be performed in a professional and workmanlike manner. EXCEPT AS EXPRESSLY STATED, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

12. Termination

Either party may terminate services with 30 days written notice. ARIAS IT may terminate immediately for:

  • Non-payment of fees
  • Breach of terms
  • Illegal or unethical use of services

Upon termination, client must pay for all services rendered through the termination date.

13. Indemnification

Clients agree to indemnify and hold ARIAS IT harmless from claims arising from:

  • Client's use of services in violation of these terms
  • Client's violation of applicable laws or regulations
  • Client-provided content or materials

14. Modifications to Terms

ARIAS IT reserves the right to modify these terms at any time. Clients will be notified of material changes via email or through our website. Continued use of services after changes constitutes acceptance of modified terms.

15. Governing Law

These terms are governed by the laws of the State in which ARIAS IT is registered, without regard to conflict of law provisions.

16. Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through:

  1. Good faith negotiation between the parties
  2. Mediation if negotiation fails
  3. Binding arbitration if mediation is unsuccessful

17. Entire Agreement

These Terms and Conditions, together with any service-specific agreements, constitute the entire agreement between the parties and supersede all prior agreements and understandings.
